WASHINGTON CHAIN AND SUPPLY, INC.

STANDARD TERMS AND CONDITIONS

The parties named in the Customer Order agree that the sale of rigging, materials, and other equipment (collectively, the “Equipment”) by Washington Chain and Supply, Inc. (“WCS”) is governed by this Master Purchase

Agreement (“Agreement”). This Agreement is intended for commercial transactions. The parties agree that transactions and signatures may be conducted electronically to the extent permitted by Washington law,

including chapter 1.80 RCW.

1. Equipment; Orders; Price; Payment

A. WCS shall provide the Equipment described in a Customer Order accepted by WCS at the prices stated in that Customer Order. If a Customer Order does not state a price, the applicable price shall be WCS’s price in

effect when WCS accepts the Customer Order.

B. No Customer Order is binding on WCS until WCS accepts it in writing, electronically, or by performance.

C. All credit sales and payment terms are subject to WCS’s approval and ongoing review of Customer’s creditworthiness. Unless WCS agrees otherwise in writing, payment is due within thirty (30) days after shipment. Any

late charge shall be the lesser of 1.5% per month on the unpaid, undisputed balance or the maximum amount permitted by applicable law. WCS reserves the right to modify, suspend, or withdraw credit terms at any time

based on Customer’s credit status.

2. Indemnification

A. To the fullest extent permitted by applicable law, each party (“Indemnifying Party”) shall defend, indemnify, and hold harmless the other party and its officers, directors, employees, and agents from third-party claims,

damages, losses, liabilities, costs, and reasonable attorneys’ fees to the extent caused by the negligence, willful misconduct, or breach of this Agreement by the Indemnifying Party or persons for whom it is legally

responsible.

B. An indemnified party shall give reasonably prompt notice of a claim and reasonable cooperation. The Indemnifying Party may control the defense and settlement, except it may not settle a claim in a manner that admits

fault by or imposes nonmonetary obligations on the indemnified party without written consent.

C. This Section survives termination or expiration of this Agreement.

3. Shipment; Delivery; Inspection; Risk of Loss

A. Delivery dates are estimates unless WCS expressly agrees in writing that a date is firm. WCS is not liable for delay caused by circumstances beyond its reasonable control.

B. CUSTOMER shall inspect the Equipment promptly after delivery. CUSTOMER shall notify WCS in writing of visible damage, shortage, or nonconformity within three (3) business days after delivery. Failure to provide that

notice waives claims for conditions reasonably discoverable on prompt inspection, but does not waive claims that cannot reasonably be discovered within that period or rights that cannot lawfully be waived.

C. WCS will provide reasonable instructions concerning authorized repair, replacement, or return.

D. Risk of loss passes to CUSTOMER upon delivery to CUSTOMER or CUSTOMER’s designated location, except to the extent otherwise required by an agreed shipping term or applicable law. Any retention or reservation of

title by WCS is limited to a reservation of a security interest to the extent provided by applicable law.

4. Limited Warranty – New Equipment Manufactured by WCS

A. WCS warrants that new Equipment manufactured by WCS will materially conform to the specifications in the applicable Customer Order for six (6) months after delivery (“Warranty Period”).

B. If CUSTOMER asks WCS to hold completed Equipment for later delivery, the Warranty Period begins when the Equipment is made available to CUSTOMER, unless WCS agrees otherwise in writing.

C. For Equipment manufactured by a third party, WCS passes through to CUSTOMER any transferable manufacturer warranty to the extent WCS is permitted to do so.

D. For a timely warranty claim, WCS may inspect the Equipment or require authorized return. Unauthorized returns are not accepted. Unless WCS agrees otherwise in writing, CUSTOMER is responsible for costs of access,

removal, transportation, and reinstallation.

E. Subject to applicable law, WCS’s obligation for a covered defect is, at WCS’s option, repair or replacement of the defective or nonconforming Equipment. If that limited remedy fails of its essential purpose, remedies

available under applicable law apply.

F. This warranty does not cover damage caused by misuse, abuse, neglect, improper installation, unauthorized alteration or repair, or failure to follow applicable ratings, instructions, maintenance requirements, or safety

requirements.

G. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, AND TO THE FULLEST EXTENT PERMITTED BY WASHINGTON LAW, WCS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY

AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. THESE DISCLAIMERS ARE INTENDED TO BE CONSPICUOUS.

5. Used Equipment

A. Used Equipment is sold “AS IS” and “WITH ALL FAULTS,” subject to applicable law.

B. TO THE FULLEST EXTENT PERMITTED BY WASHINGTON LAW, WCS DISCLAIMS ALL IMPLIED WARRANTIES WITH RESPECT TO USED EQUIPMENT, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

CUSTOMER is responsible for inspecting used Equipment and determining its suitability for CUSTOMER’s intended application.

C. Nothing in this Section disclaims any express written warranty specifically provided by WCS for identified used Equipment.

6. Returns; Cancellations; Credits

A. Except for rights and remedies expressly stated in this Agreement or required by applicable law, sales are final and Equipment may not be returned without WCS’s prior written authorization. Notwithstanding the

foregoing, all cut-to-length products, custom-fabricated products, special-order products, and non-stock items are final sales, not eligible for return, exchange, refund, or credit, and may not be canceled once ordered.

B. A requested cancellation before delivery is subject to WCS’s written approval and may be subject to reasonable cancellation or restocking charges disclosed by WCS. Cut-to-length products, custom-fabricated products,

special-order products, and non-stock items are not subject to cancellation except with WCS’s prior written consent.

C. Unless prohibited by applicable law or otherwise stated in writing when issued, credits issued by WCS expire one hundred twenty (120) days after issuance.

7. Limitation of Damages

A. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS,

LOST REVENUE, LOST PRODUCTION, LOSS OF USE, OR COST OF DELAY, ARISING FROM OR RELATING TO THIS AGREEMENT OR THE EQUIPMENT, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES.

B. The limitations in this Section do not apply to liability that applicable law does not permit the parties to limit or exclude.

8. Proprietary Technical Materials

A. Documentation, maintenance manuals, drawings, specifications, and other technical materials furnished by WCS (“Proprietary Technical Materials”) remain WCS property unless the parties expressly agree otherwise in

writing. WCS grants CUSTOMER a limited, nonexclusive, nontransferable license to use those materials solely to install, operate, maintain, service, or repair the Equipment.

B. CUSTOMER shall not disclose, reproduce, distribute, sublicense, or use Proprietary Technical Materials for another purpose except with WCS’s written consent or as required by law.

9. Governing Law; Venue; Dispute Process; Attorneys’ Fees

A. Except to the extent federal maritime law mandatorily governs a particular transaction, this Agreement and each Customer Order are governed by the laws of the State of Washington, without regard to conflict-of-laws

principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

B. Before filing suit, the initiating party shall provide a written description of the dispute. The receiving party shall have ten (10) business days to provide a written response. This procedure does not prevent either party

from seeking emergency or provisional relief when reasonably necessary.

C. Subject to applicable jurisdictional requirements, any action arising out of this Agreement shall be brought in a state or federal court located in King County, Washington, and each party consents to personal jurisdiction

and venue in those courts.

D. Any contractual right to attorneys’ fees under this Agreement shall be reciprocal to the extent required by Washington law. WCS may recover reasonable collection costs and attorneys’ fees when legally recoverable for

collection of past-due amounts or enforcement of this Agreement.

10. Entire Agreement; Electronic Transactions; Severability

A. This Agreement and each accepted Customer Order constitute the parties’ entire agreement concerning the Equipment covered by that Customer Order and supersede prior or contemporaneous representations

concerning that subject. An amendment must be in writing and agreed to by authorized representatives of both parties.

B. If there is a direct conflict between this Agreement and a Customer Order, this Agreement controls unless the Customer Order expressly identifies the provision of this Agreement being modified and is accepted in

writing by WCS.

C. The parties consent to conduct transactions electronically. Electronic records and electronic signatures shall have the effect provided by applicable law, including Washington’s Uniform Electronic Transactions Act,

chapter 1.80 RCW.

D. If a provision is determined unenforceable, it shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in effect.
